Job Description:
This function will coordinate with an Outsourced Audit Firm the
overall process to conduct Internal Audit functions. Design and
coordinate the implementation of the Audit Plan and Risk
Assessments. Present to Board Audit Committee the status of the
Audit Plan and estimated completion dates.Responsibilities:Act as a
liaison between the Amerant Bancop and its subsidiaries with the
Outsourced Audit Firm. Coordinate the internal audits to be
performed between the Outsourced Audit Firm and each of the
subsidiaries of Amerant Bancorp.Trusted advisor to the management
and the Board Audit Committee in items related to exposure to
losses, reputation damage, regulatory sanctions and fines,
litigation, criminal charges, or loss of charter by ensuring that
management, employees, and the Board of Directors are in compliance
with the rules and regulations of supervisory authorities, that
company policies and procedures are being followed, and that
behavior in the organization meets its Code of Ethics.Responsible
for the coordination of the risk assessment process with Outsourced
Audit Company and Internal Controls Department to identify and
assess levels of risk on different activities.Development of the
Annual Audit Plan to be presented to the Board Audit Committee for
annual approval.Monitor expenses related with the execution of the
audit plan performed by the Outsourced Audit Firm. Evaluate if work
is being performed accordingly with projected hours and
costs.Certify to the CEO and CFO any significant item that arise
during each reporting period before a critical SEC filing
occurs.Identify, evaluate, and report to Management and the Board
Audit Committee any current or prospective risks to earnings or
capital arising from violations of, or nonconformance with, laws,
rules, regulations, prescribed practices, internal policies and
procedures or ethical standards.Prepares the Summary of Aggregated
Deficiencies (SAD) to document and support Management's assessment
over Internal Control Deficiencies and remediation
plans.Communicate and report to external auditors' status of
testing being performed over the Internal Control (SOX) over the
financial reporting function.Coordinate with the Outsourced Audit
Firm and the Internal Controls Department the determination of
audit objectives and procedures to review and assess the adequacy
and application of internal controls and the adherence to
established policies and procedures.Maintain close communication
with management and promptly inform about status of the audit
process. Report to the Chairman of the Audit Committee any delay or
special situation arising from the developing of the Audit
Plan.Monitor the performance of audit procedures, including
identifying and defining findings and recommendations, developing
criteria, reviewing, and analyzing relevant information, evaluating
evidence, documenting business processes and procedures, and
completing audit documentation.Permanent guest of the Board Audit
Committee, Internal Controls Committee, and Code of Conduct
Committee.Coordinate and validate the effectiveness of the entity
level controls and coordinate required walk-throughs and the
necessary testing and validation of the controls that contribute to
mitigate the risk of significant misstatements on the financial
records of the Bank for the annual certifications of FDCIA and the
Section 404 of the Sarbanes-Oxley Act.Prepare supplemental
information to be included into the FDICIA letters to document
findings and conclusions over the effectiveness of the company's
internal controls over the financial reporting function.Reviews
Management's Action Plans and tests for satisfactory remediation of
any outstanding deficiencies and ensures that said action plans
properly address the findings and recommendations in the respective
audit reports. Progress on outstanding action plans must be
reported to the Board Audit Committee.Participate on the kickoff
and exit meetings for each of the internal audits being performed.
Proactively communicate any material findings identified during the
audit to the incumbent auditee.Verify the completion of the audit
work and the final report of audit, including the audit conclusion,
audit findings and recommendations and the audit rating. Approve
and submit the reports of audit to management and the Board Audit
Committee as necessary.Ensure preventive measures are carried out
to fully comply with current rules, regulations and internal
policies relating to risks pertaining to BSA, USA PATRIOT Act, OFAC
and other AML related issues.Minimum Education and/or
Certifications Requirements:CPA or bachelor's degree in accounting.
Possibly MBA in Business or Finance.Minimum Work Experience
Requirements:At least 5 years of senior auditing experience in
national or international Accounting Audit Firm.Technical and/or
Other Essential Knowledge:Experience with MS Outlook, Internet, and
MS Office Skills, including MS Word Advanced, MS Excel Advanced, MS
PowerPoint Advanced, MS Project Advanced and MS Visio Advanced
required. Strong organizational skills, preferably with ability to
communicate in professional range of English and Spanish. Extensive
knowledge of audit processes and banking products. Internal Auditor
Certification
