POSITION SUMMARY:The Vice President of Contract Finance and Counterparty Due Diligence will be responsible for assisting the firm's investments in whole loans including but not limited to:Manage and coordinate all transaction functions related to consumer loan acquisitions to ensure closings including contract negotiations with sellers, servicers, lenders, and support vendorsConduct buy-side due diligence engagements including the development of a due diligence scope for initial transactions as well as ongoing relationshipsCoordinate approach with counterparty, internal teams, and third party diligence providers throughout the transaction processIdentify contractual elements of acquisition and financing arrangements that require periodic diligence and meet those requirementsHighlight for internal stakeholders key issues related to transactions and counterparties; for example: weak controls, thin financial position, and subpar compliance systemsOrganize ongoing counterparty due diligence and develop a schedule for meeting periodic audits as neededThe ideal candidate will be an individual who is dedicated to making sure that these critical processes are completed effectively, accurately, efficiently and timely to support the investment process. Salesforce, Excel, and PowerPoint will be the primary tools used in this position. - Exemplary work ethic and ability to collaborate with financial professionals is a must. - This position will be required to also integrate tightly with our investment, legal and compliance departments in researching the degree of operational risk that exists in our current and prospective counterparties. The ideal candidate is one who works or has worked in a financial services or institutional investment firm and who has developed solid organizational skills, a strong work ethic and has a comfort level working in a high transaction volume pace.DUTIES AND RESPONSIBILITIES:Prepare transaction timelines as purchases and sales are identifiedWork with internal resource teams (sales, legal, due diligence, finance, servicing, collateral) to appoint work streamsDetermine the breadth and depth of the diligence scope in accordance with the profile of the transaction and the counterpartyManage and review agreements with necessary third party diligence providersThis includes master agreements and statements of work with third-party review vendors commensurate with identified transactionsConduct business and operational due diligence reviews on new and existing counterparties including onsite visits and interviews with senior management of the firmEvaluate counterparty ownership structure, operational controls, policies and procedures, disaster recovery procedures and IT security, infrastructure, service providers, and legal/compliance environmentPresent due diligence findings and recommendations to the Investment Committee via a concise and accurate written and verbal report focusing on risks (operational, regulatory, reputational, and financial) as well as potential mitigantsCreate schedules of due diligence requirements for ongoing transactions along with required deliverablesCreate post-closing list of contractual obligations with follow-up work streamsEngage internal groups to reconcile loan data and ensure data systems are updatedWork independently and assess priorities according to the firm's objectivesLead by example in adhering to Bayview's company tenetsSKILLS/KNOWLEDGE/ABILITIES:Strong fluency with purchase and sale agreements, due diligence reports, credit underwriting, funding schedules, collateral documents, be reasonably fluent with data systems and possess the ability to work in a fast paced environmentExtensive experience in transaction or project management including planning, organizing, coordinating, and managing staff, clients, and/or stakeholders towards the successful completion of a transactionWillingness and ability to travel, including potential international travelAbility to methodically solve problems and quantify solutions with limited directionExperience working in a results-oriented environment with multiple competing deadlinesExemplary work ethicStrong verbal and written communication skills that can tailor to both technical and non-technical audiences as well as people at all levels of an organization from analysts to the Chief Executive OfficerExceptional leadership skills, including the ability to implement changeStrong PC skills required, including extensive experience with spreadsheetsStrong analytical skills and strict attention to detailAbility to prioritize several tasks at one time and meet tight deadlinesAdvanced knowledge of financial concepts including but not limited to financial statements, fixed income investments, credit risk, swaps and other derivatives is a plusComfort with ambiguity and fluid client situations and ability to work in a fast-paced deal environmentEDUCATION and EXPERIENCE:JD is highly preferredSignificant experience conducting thorough analysis of potential counterparties, including assessing their financial condition, ability to adhere to applicable regulatory requirements, potential reputational issues, and the quality of controls in place to ensure data integrity plus adherence to policiesBachelor's degree preferred from a top- tier educational institution is required, preferably in accounting, computer science, economics, finance or a related fieldCertifications, Licenses, and/or Registration -NonePhysical Demands and Work EnvironmentThe physical demands described here are representative of those that must be met by an employee to successfully perform the essential functions of this job. - Reasonable accommodations may be made to enable individuals with disabilities to perform the essential functions. -While performing the duties of this job, the employee is regularly required to sit and use hands to handle, touch or feel objects, tools, or controls. - The employee frequently is required to talk and hear. - The noise level in the work environment is usually moderate. - The employee is occasionally required to stand;
